Offshore company incorporation

Use an offshore structure only when the purpose genuinely fits.

Offshore and international company structures are used for specific holding, ownership, investment and cross-border objectives rather than as a generic substitute for an operating licence. In Ras Al Khaimah, RAK International Corporate Centre is the official international corporate registry and company incorporation is submitted through a registered agent.

01

Purpose before structure

Start with what the entity needs to own, hold, invest in or facilitate. The intended use should drive the registry and company type rather than the label ‘offshore’.

02

Registered-agent process

RAK ICC states that company incorporation is completed through registered agents. Documentation and onboarding requirements should therefore be planned around the selected registry and agent process.

03

Operating model still matters

Do not assume an international or offshore company has the same licence, premises or visa profile as a mainland or free-zone operating entity. Confirm the exact permissions and any additional structure required for the intended activity.

Typical decision path

A clear sequence before paperwork begins.

Requirements vary by activity, legal form, emirate and authority. AIM can help structure the questions before you commit to a route.

  1. 01Define the ownership, holding, investment or cross-border purpose of the proposed entity.
  2. 02Identify the suitable UAE registry and company type for that purpose.
  3. 03Work through the registered-agent onboarding, KYC and incorporation-document requirements.
  4. 04After incorporation, plan banking, beneficial-ownership, tax, renewal and any separate operating-entity obligations that apply.
